MATERIAL FACT
Companhia de Saneamento Básico do Estado de São Paulo – Sabesp (“SABESP” or “Company”), pursuant to the provisions of Instruction 358, of January 3, 2002, issued by the Brazilian Securities and Exchange Commission (“CVM”), as amended, hereby informs its shareholders and the market in general that SABESP’s Board of Directors, at the meeting held on October 25, 2012, approved the 16 th issue of simple, unsecured and non-convertible debentures, in a single series, for public distribution, with restricted placement efforts, in accordance with CVM Instruction 476, of January 16, 2009, as amended, (“CVM Instruction 476”), in the total amount of R$500,000,000.00 (five hundred million Brazilian reais) (“Debentures” and Offering”, respectively).
The structuring and distribution process is being undertaken by a consortium of financial institutions, with BB-Banco de Investimento S.A. acting as the lead manager and Banco Bradesco BBI S.A. acting as the joint book runner. The Offering will exclusively target qualified investors and will be presented to a maximum of fifty (50) qualified investors, though the Debentures may only be subscribed by a maximum of twenty (20) qualified investors, as set forth in Article 3 of CVM Instruction 476.
The proceeds from said offering will be allocated to settle the Company’s financial obligations in 2012/2013.
