Re: Compagnie de Saint-Gobain - EUR 15,000,000,000 EMTN Programme – Final Terms

Dear Sir/Madam,

Please find attached the following signed final terms relating to admission to the Official List of two tranches of notes of Series 24 (together, the "Notes") under the EUR 15,000,000,000 Medium Term Note Programme of Compagnie de Saint Gobain:

• Euro 100,000,000 3.875% Notes due 28 March 2033 to be consolidated and form a single series with the existing Euro 100,000,000 3.875% Notes due 28 March 2033 issued on 28 March 2013; and
• Euro 25,500,000 3.875% Notes due 28 March 2033 to be consolidated and form a single series with the existing Euro 100,000,000 3.875% Notes due 28 March 2033 issued on 28 March 2013 and with the Euro 100,000,000 3.875% Notes due 28 March 2033 to be issued on 24 March 2014.

These final terms have also been filed with the London Stock Exchange in order for the Notes to be admitted to trading as of Monday, 24 March 2014.
