Item 1.01 Entry into a Material Definitive Agreement

On March 21, 2012, the Board of Directors of Central Valley Community Bank (Bank), the sole subsidiary of Central Valley Community Bancorp (Company) approved amendments to the Director Split Dollar Agreement and Policy Endorsements for participating directors, solely to clarify language and not amending any benefits paid under those agreements. The participating Directors are Daniel N. Cunningham, Edwin S. Darden, Jr., Steven D. McDonald, Louis McMurray, and William S. Smittcamp. The Company’s monetary obligation to the Directors under these agreements remained unchanged.
