PLACEMENT CLEANSING NOTICE

Comms Group Ltd ACN 619 196 539 (ASX:CCG) ( Comms Group ) gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) of the issue of 96,400,000 fully paid ordinary shares under the placement to sophisticated, professional and institutional investors announced on 16 May 2025 at the offer price of $0.05 per share ( Placement Shares ).

With respect to the Placement Shares, Comms Group advises that, for the purposes of section 708A(6) of the Corporations Act:

• (a) the Placement Shares have been issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• (b) this notice is being given under section 708A(5)(e) of the Corporations Act;

• (c) as at the date of this notice, Comms Group has complied with:

  • (i) the provisions of Chapter 2M of the Corporations Act as they apply to Comms Group; and

  • (ii) sections 674 and 674A of the Corporations Act;

• (d) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act.
