On 1 June 2016, the Company and certain of its subsidiaries
entered into two agreements (the “Agreements”) with (i) Mr.
Chan Ho Sun Peter (“Mr. Chan”) and (ii) separately, with
Master China Films Limited pursuant to which the Company
has conditionally agreed to allot and issue 144,500,000
ordinary shares of the Company (the “Shares”) to Mr. Chan
and 100,000,000 Shares to Master China Films Limited (or
its nominee) ((i) and (ii), together, the “New Shares”).
The New Shares were allotted and issued under the general
mandate granted to the board of directors of the Company at
the annual general meeting held on 1 June 2016.
On 17 June 2016, the Company issued and allotted (i)
144,500,000 New Shares to Mr. Chan and (ii) 100,000,000
New Shares to Mr. Wong Kar Wai.
