RETIREMENT OF EXECUTIVE DIRECTORS

The board (the “ Board ”) of directors (the “ Directors ”) of Comba Telecom Systems Holdings Limited (the “ Company ”) announces that Mr. Wu Jiang Cheng (“ Mr. Wu ”) has stepped down as executive Director of the Company and senior vice president in the PRC market with effect from 26 August 2014 due to retirement. Mr. Wu has also tendered his resignation from various positions in the subsidiaries of the Company, including but not limited to his positions as legal representative and director in certain subsidiaries of the Company with effect from 26 August 2014.

The Board further announces that Mr. Yan Ji Ci (“ Mr. Yan ”) has reached the retirement age and stepped down as executive Director of the Company and senior vice president, operations management and logistic system with effect from 26 August 2014 due to retirement. Mr. Yan has also tendered his resignation from various positions in the subsidiaries of the Company, including but not limited to his positions as legal representative and director in certain subsidiaries of the Company with effect from 26 August 2014.

Mr. Wu and Mr. Yan confirmed that they have no disagreement with the Board and there are no other matters relating to their respective stepping down and retirement that need to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited.

The Board would like to take this opportunity to express its sincere gratitude and great appreciation to Mr. Wu and Mr. Yan for their valuable contributions to the Company during their tenures in office and wish them every success in future.

As at the date of this announcement, the Board comprises the following executive Directors: Mr. FOK Tung Ling, Mr. ZHANG Yue Jun, Dr. TONG Chak Wai, Wilson, Mr. ZHENG Guo Bao, Mr. YEUNG Pui Sang, Simon and Mr. ZHANG Yuan Jian; and the following independent non-executive Directors: Mr. LIU Cai, Mr. LAU Siu Ki, Kevin, Dr. LIN Jin Tong and Mr. QIAN Ting Shuo.
