("Columbia") on November 1, 2017, pursuant to the Agreement and Plan of Merger, dated January 9, 2017, as amended, by and among Columbia, Pacific Continental and Coast Merger Sub, Inc., the reporting person received the Columbia common shares reported above, in exchange for (I) 6,904 Pacific Continental common shares held directly, of which 5,254 were held jointly with Mr. Forrest's spouse. On October 31, 2017, the last trading day immediately prior to the effective date of the merger, the closing price of Pacific Continental's common shares was $28.00 per share and the closing price of Columbia's common shares was $43.51 per share.
