The Board of Directors of the Company has decided, based on its statutory authorization, to destroy a total of 4.000.000 own shares. In addition, following the annual capital increase reserved for Colruyt Group employees, a total of 93.544 new shares were created by notarial deed of 18 December 2025.

The new data relating to the shares and capital of Colruyt Group NV following these transactions are as follows:

• Total capital: EUR 387.537.870,25

• Total number of shares carrying voting rights: 120.591.402

• Total number of voting rights (= denominator): 120.591.402

No thresholds have been laid down in the articles of association. For transparency notifications the statutory thresholds per bracket of 5% therefore apply.
