PRESS RELEASE - REGULATED DISCLOSURE Refinancing

New credit facilities Cleansed and simplified balance sheet

Brussels, December 28th, 2010 (5:45 pm) – United Anodisers S.A./N.V. announces that it has reached agreement with Banca Monte Paschi Belgio and BNP Paribas Fortis to provide new secured credit facilities totalling €3.6 million comprised as follows:

  • €2.1 million 5-year term loan effective on the 28th of December 2010
  • €1.5 million revolving credit facility effective on the 29 th of December 2010

The term loan will benefit from a guarantee from the PMV (ParticipatieMaatschappij Vlaanderen) in Belgium.

At the same time, the Company will make the final scheduled installment of €500K under a €6.0 million long term loan and fully reimburse a €3.2 million revolving credit facility, both made available by a syndicate of five European banks (including the aforementioned banks) in 2004.

These new credit facilities will decrease the cash required annually for debt reimbursement by €580K from 2011.

It will be recalled that at 30th June 2010, Net Consolidated Funded Debt (bank debt – cash) to Shareholders Funds was 71%. Total consolidated bank debt at 31st December 2010 will be about €9.9 million, down from €17.5 million at 31st December 2007. This reduction has been entirely funded from internally generated cash flow.
