Item 2.02 Results of Operations and Financial Condition.

On January 29, 2024, Cohu, Inc. (the “Company”) announced preliminary revenue results for the fourth quarter of fiscal year 2023 ended December 30, 2023, and provided a business outlook for the first fiscal quarter-ending March 30, 2024. A copy of this press release is attached hereto as Exhibit 99.1.
