Item 1.01 Entry into a Material Definitive Agreement.

On May 29, 2007 Cohu, Inc. amended its loan agreement with Bank of America, N. A. dated June 28, 2004. Amendment No. 3 extended the availability period from July 1, 2007 to July 1, 2008 and amended certain terms and is filed as Exhibit 99.1 to this Form 8-K.
