Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 30, 2009, the Board of Directors of Cohu, Inc. (the "Company") elected Steven J. Bilodeau to serve as a Class 3 Director and in accordance with the Company's Bylaws he will stand for election at the Company's 2010 annual meeting of stockholders. Mr. Bilodeau was named to the Audit, Compensation and Nominating and Governance Committees of the Board of Directors. The Board of Directors determined that, in its judgment, Mr. Bilodeau satisfies the requirements for independence set forth in the Company’s Corporate Governance Guidelines and by the NASDAQ listing standards. There were no arrangements or understandings pursuant to which Mr. Bilodeau was elected or any relationships or related transactions between the Company and Mr. Bilodeau which would require disclosure pursuant to Item 404(a) of Regulation S-K. As a non-employee director, Mr. Bilodeau will be compensated in accordance with the director compensation program as described in the Company’s Proxy Statement filed with the Securities and Exchange Commission on April 6, 2009, the description of which is incorporated herein by reference. A copy of the press release announcing Mr. Bilodeau, is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
