EXPLANATORY NOTE

II-VI Incorporated is filing this Amendment No. 1 to its Quarterly Report on Form 10-Q for the quarter ended September 30, 2021, which was originally filed with the Securities and Exchange Commission on November 9, 2021 (the “Original Filing”), solely to insert the conformed signatures in the certifications of our Chief Financial Officer in Exhibits 31.02 and 32.02, which match the original signatures that previously had been obtained but which were inadvertently omitted from the Original Filing. Except as described above, no changes have been made to the Original Filing, and this Amendment No. 1 does not modify, amend or update in any way the financial or other information contained in the Original Filing.
