Explanatory Note

On December 1, 2022, Cognyte Software Ltd. (the “ Company ” or “ Cognyte ”) completed the previously announced divestiture of Cognyte’s Situational Intelligence solutions, which were part of Cognyte’s Threat Intelligence Analytics offering, to the Volaris Group. Upon completion of the divestiture, Cognyte received a gross amount of US$42.3 million.

The information in this report of foreign private issuer on Form 6-K is hereby incorporated by reference into the Company’s registration statement on Form S-8 (File No. 333-252565).
