TheManagement Board of AFORTI Holding S.A. with its registered office inWarsaw (hereinafter referred to as the _quot;Company_quot;), acting pursuant toArt. 17 section 1 in connection joke. 17 section 4 Regulation No.596/2014 of the European Parliament and of the Council of 16 April 2014on market abuse regulation and repealing Directive 2003/6/EC of theEuropean Parliament and of the Council and Commission Directive2003/124/EC, 2003/125/EC and 2004/72/EC _quot;MAR Regulation_quot;, hereby makespublic the content of delayed confidential information, the transmissionof which was delayed on June 6, 2024.

Contentof confidential information whose publication has been delayed:

TheManagement Board of AFORTI Holding S.A. with its registered office inWarsaw (hereinafter referred to as the _quot;Company_quot;) informs that on June6, 2024, it concluded an agreement with Mr. Paweł Lewandowski, who holdsa restructuring advisor license no. 735 and the title of a qualifiedrestructuring advisor, to supervise the course of the arrangementapproval proceedings under the procedure Act of May 15, 2015,Restructuring Law. The agreement was concluded in order to carry outrestructuring proceedings in the Company in the form of proceedings forapproval of the arrangement.

Reasonsfor delaying the publication of confidential information:

Inthe Management Board's opinion, the delay in providing the aboveinformation met the conditions specified in the MAR Regulation at thetime the decision on the delay was made.

TheManagement Board indicates that concluding an agreement to supervise thecourse of the arrangement approval proceedings under the RestructuringLaw Act of May 15, 2015 was not tantamount to opening the restructuringproceedings. Because there was a real possibility that the Company wouldresign from restructuring. Therefore, premature disclosure of delayedconfidential information at the stage of its classification would bemisleading and would be to the detriment of the Company in theinvestment talks conducted by the Company.

Thedisclosure of this confidential information is due to the impossibilityof further ensuring its confidentiality due to the announcement of thearrangement date.
