Dear Sir,

This is further to our letter dated March 24, 2017, wherein we had informed that the Board of Directors of the Company had approved the amalgamation of PIPL Business Advisors and Investment Private Limited and GSPL Advisory Services and Investment Private Limited (the above mentioned companies hold about 3.55% each equity shares respectively in NIIT Technologies Limited, and form part of promoter/ promoter group of NtlT Technologies Limited) with NIIT Technologies Limited ("the Company or NTL") by way of and in accordance with a Scheme of Amalgamation as per the provisions of Sections 230-232 and any other applicable provisions of the Companies Act, 2013 (hereinafter referred to as the "Scheme").

In this regard, we would like to inform that the Hon'ble National Company Law Tribunal, Principal Bench at New Delhi has approved the said Scheme.

The Scheme shall come into effect, upon filing of certified true copy of the order with the Registrar of Companies.
