THE OFFER PERIOD FOR THE INVITATION TO PARTICIPATE

NOTICE is given to the shareholders of Coforge Limited (the “ Company ”) Depositorythat the CompanyShares (“is ADSs proposing”, and tosuchundertakeoffer thean“ ADS offer Offering of American”) in compliance with the provisions of applicable laws including the Companies Act, 2013, as amended, the Companies (Issue of Global Depository Receipts) Rules, 2014, as amended, the Depository Receipts Scheme, 2014 (the “ DR Scheme ”) and Securities and Exchange Board of India (“SEBI”) Circulars dated October 10, 2019, November 28, 2019, October 1, 2020 and December 18, 2020 on the framework for issue of Depositary Receipts (“ SEBI Circulars ”, and together with the DR Scheme, the “ DR Framework ). The board of directors of the Company has approved the issuance of the ADSs at their meeting held on July 6, 2021 and the shareholders of the Company have approved the same by way of a special resolution on July 30, 2021.

In relation to the ADS Offering, the Registration Document on Form F-1 (“ Registration Statement ”) has been publicly filed with the U.S. Securities and Exchange Commission (“ SEC ”) on November 15, 2021, but has not yet become effective. The Registration Statement and all subsequent amendments may be accessed through the SEC’s website at www.sec.gov.

The ADS Offering comprises an issuance of ADSs on the basis of equity shares of the Company (“ Equity Shares ”) which will be transferred by the shareholders of the Company. In compliance with the DR Framework, the Company had dispatched the relevant documents for participation in the ADS Offering including the invitation to participate and the letter of transmittal (“ Invitation to on Participate Documents November 12, 2021 (the”) to the email addresses of its shareholders as“ Identified Date ”), and had sent physical copies of the Invitation to Participate Documents to the postal address of such shareholders as on the Identified Date that have not provided their e-mail addresses to the Company.

However, shareholders of the Company who became shareholders after the Identified Date until December 2, 2021 (the “ Invitation Offer Closing Date ”) were also eligible to participate in the ADS Offering, and may download the Invitation to Participate Documents from the website of the Company (www.coforge.com) or from the website of the registrar to the ADS Offering (www.linkintime.co.in).

Shareholders are hereby notified that the offer period for shareholders interested in participating in the ADS Offering to send the duly executed documents and transfer their Equity Shares as specified in the Invitation for Participation Documents closes today , i.e. the Invitation Offer Closing Date.
