THE BOARD OF DIRECTORS OF COFLE S.P.A HAS:

• Reconfirmed Walter Barbieri as CEO and appointed Alessandra Barbieri as Vice President
• Approved the quantitative and qualitative criteria for assessing the independence requirements

Trezzo sull'Adda (MI), May 13, 2024 – The Board of Directors of Cofle S.p.A. (EGM:CFL), a leading company in the design, production, and global marketing of control systems and control cables for the off-road vehicles, automotive, and aftermarket automotive sectors, convened today, has reconfirmed Chairman Walter Barbieri in his role as CEO and has appointed Dr. Alessandra Barbieri as Vice-President.

Furthermore, the Board of Directors has approved the quantitative and qualitative criteria of significance for potentially relevant relationships for the evaluation of independence of at least one board member, until the expiration of the current term (the "Policy"), and has verified the existence of independence requirements set forth in Article 148, paragraph 3, of the Consolidated Finance Act with respect to board member Enrico Mambelli.
