(b) On June 15, 2012, Dr. Joseph J. Sarret resigned as Senior Vice President and Chief Business Officer of Codexis, Inc. (the “Company”), effective August 3, 2012.

On June 21, 2012, the Company issued a press release announcing Dr. Sarret’s resignation. A copy of this press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.
