YPB Loan Agreement Share Issue

The company confirms that no fully paid ordinary shares have been issued to John Houston pursuant to the conversion of any amount outstanding under the YPB Loan Agreement (as defined in the Prospectus) entered into between YPB and entities controlled by John Houston, dated 23 May 2014.

Should any fully paid shares in the future be issued in regard to any such amount outstanding referred to above same will be subject to shareholder approval.
