2017 Yılında Yapılması Öngörülen İlişkili Taraf İşlemleri Raporu Sonuç Bölümü

Sermaye Piyasası Kurulunun II.17.1 sayılı "Kurumsal Yönetim" tebliği uyarınca, şirketimizin Kamuya açıklanan 2016 yıllık finansal tablolarında yer alan satışların maliyeti veya hasılatın %10'una veya daha fazlasına 2017 yılı içinde ulaşması öngörülen Şirketimiz  ile The Coca-Cola Export Corporation ile bu şirketin iştirakleri ve bağlı ortaklığımız Coca-Cola Satış ve Dağıtım A.Ş. arasında yaygın ve süreklilik arz eden işlemlerle ilgili Bağımsız Denetim Kuruluşuna yaptırılan çalışma da dikkate alınarak, ilgili tebliğin 10. maddesinin 3.fıkrasında yer alan hususlar çerçevesinde yapılan değerlendirmede; Şirketimizin 2017 yılında ilişkili şirketleri The Coca-Cola Export Corporation ile bu şirketin iştiraklerinden yapılması öngörülen "Konsantre/Özüt" alımları ile Coca-Cola Satış ve Dağıtım A.Ş.'ye yapılması öngörülen satışlarının işlem koşullarının önceki yıllarla uyumlu ve piyasa şartları ile karşılaştırıldığında piyasa koşullarına uygun gerçekleşeceği kanaatine varılmıştır.

Conclusion Section of the Report on Related Party Transactions Contemplated For 2017

As a result of the evaluation made as per paragraph 3 Article 10 of the Capital Market Board's "Corporate Governance" communiqué  number II.17.1, by taking into account also the work undertaken by the Independent Audit Agency with respect to those transactions which are common and of a continuous nature between our Company and The Coca-Cola Export Corporation and its subsidiaries and our affiliated company Coca-Cola Satış ve Dağıtım A.Ş. and which are expected to reach during 2017 10% or more of the sales costs of revenues that are stated on the publicly released 2016 annual financial statements of our company it is concluded that; The transaction conditions of "Concentrate/Base" purchases which are contemplated to be made by and between our Company and its related companies The Coca-Cola Export Corporation and its subsidiaries and sales which are contemplated to be made to Coca-Cola Satış ve Dağıtım A.Ş. shall be consistent with the transactions of previous years and at-arm's length when compared with market conditions.
