Coca-Cola İçecek A.Ş.'nin (CCI) Yönetim Kurulu, 144 A ve Regulations S kurallarına göre oluşturulmuş Global Depo Sertifikaları programı ("GDR Programı") ile halihazırda Amerika Birleşik Devletleri'nde tezgahüstü piyasalarında işlem gören Aşama-1 (Level-I) Amerikan Depo Sertifikaları programını ("ADR Programı") sonlandırmaya karar vermiştir. Proglamlar CCI'ın menkul kıymetlerinin işlem hacmine önemli bir katkıda bulunmadığı gerekçesiyle 28 Ekim 2018 tarihinde veya civarında sonlandırılacaktır. GDR ve ADR sahipleri, sonlandırma tarihinden sonraki 6 aylık süre boyunca, kendi aracı kurumuna veya Deutsche Bank Trust Company Americas'a başvurarak depo sertifikalarını iptal edebilirler.

Bu işlem ile CCI, Global Depo Sertifikalarını, Amerikan Depo Sertifikalarını ya da hisselerini halka arz etmemektedir. CCI'ın hisseleri, değiştirilmiş 1933 ABD Menkul Kıymetler Kanunu ( US Securities Act of 1933 ) ("Menkul Kıymetler Kanunu") uyarınca kayıt altına alınmamıştır ve alınmayacaktır. Ayrıca söz konusu hisseler, Menkul Kıymetler Kanunu çerçevesinde kaydedilme mecburiyetine tabii olmadıkça veya muaf olduğu sürece ABD içinde halka arz edilemeyecek veya satılamayacaktır.

Coca-Cola İçecek A.Ş.'s (CCI) Board of Directors has decided to terminate the Regulation S and Rule 144A Global Depositary Receipt Program (GDR) and the Level I American Depositary Receipt (ADR) programme, trading OTC (over the counter) in the United States. CCI's programmes are expected to be terminated on or around 28 October 2018, on the grounds that they are not a significant contributor to facilitating trading in CCI's securities. GDR and ADR holders will be able to cancel their depositary receipts up to 6 months after the termination date by contacting their broker or Deutsche Bank Trust Company Americas.

No offering of shares, American Depositary Shares or Global Depositary Shares of CCI has been made or is being made hereby. The securities of CCI have not been, and will not be, registered under the US Securities Act of 1933, as amended (the "Securities Act"), and may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
