Director/PDMR Shareholding

Notification of transactions of directors, persons discharging managerial responsibility or connected persons

This notification is made in accordance with Disclosure Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

On 26 February 2016 the following persons discharging managerial responsibilities listed below acquired an interest over ordinary shares of 0.05 pence each in Coats Group plc in the form of nil cost share options under the terms of the Coats Group plc Long Term Incentive Plan ("LTIP") and Deferred Annual Bonus Plan ("DABP").   Both plans were approved by shareholders on 22 May 2014.

The LTIP awards vest following the announcement of results for the financial year ending 31 December 2018, subject to the satisfaction of performance conditions measured over a three year performance period commencing on 1 January 2016 relating to growth in earnings per share, total shareholder return and free cash flow.

The DABP awards which represent a proportion of the annual bonus awarded in respect of the year ended 31 December 2015 vest within three years from the date of grant and are not subject to performance conditions, as the performance targets in respect of the 2015 annual bonus have already been met, but are subject to certain forfeiture and claw back provisions in certain situations such as personal misconduct or a misstatement of results.

The maximum number of Shares which could vest under both plans are shown opposite the name of each PDMR set out below:
