The accession of new Guarantors of the £300,000,000 5.125 per cent. Guaranteed Notes due 2024 ISIN XS1910137949 (the "2024 Notes"), the £36,653,721.12 Instalment Repayment Subordinated Notes due 2025 ISIN: GB00BFXWHQ29 (the "2025 Instalment Notes") and the £109,062,852 11 per cent. Subordinated Final Repayment Notes due 2025 ISIN: GB00BFXW0630 (the "2025 Final Repayment Notes" and, together with the 2024 Notes and the 2025 Instalment Notes, the "Notes")

This serves to notify Noteholders of the above mentioned Notes that on 21 March 2022, Co-operative Group Limited agreed to the accession of Co-op Funeral Plans Limited and Co-op Insurance Services Limited as new Guarantors under the Notes.
