National Power Grid Company Transelectrica S.A. informs the shareholders and investors that in accordance with its statutory and legal duties, the Supervisory Board has decided the following on the meeting of May 22, 2024:

• ❖ By reference upon reaching the deadline on May 24, 2024 of the mandates of provisional Directorate members of Ștefăniță MUNTEANU, Cătălin Constantin NADOLU, Florin Cristian TĂTARU and Bogdan TONCESCU, pursuant to G.E.O. 109/2011 on corporate governance, the following are being appointed as provisional members of Directorate:
  • Ștefăniță MUNTEANU,
  • Cătălin Constantin NADOLU,
  • Florin Cristian TĂTARU and
  • Bogdan TONCESCU.
• ❖ In accordance with art. 23 para. (1) of the Articles of Association of National Power Transmission Company Transelectrica – S.A., the Supervisory Board elects Mr. Ștefăniță MUNTEANU as Directorate Chairman, alternatively called Executive Director General or Chief Executive Officer – "CEO" of National Power Transmission Company Transelectrica S.A.

The Directorate members' mandate has a duration of 5 months starting on May 25, 2024, but the mandate will not exceed the completion date of the selection procedure of NPG Co. Transelectrica S.A.'s Directorate members, under the conditions of G.E.O. 109/2011, on corporate governance of public enterprises approved with later amendments, if the procedure will be completed within this time period.
