Meeting Notice

for

Annual Shareholders’ Meeting (Summary Translation)

(In case of any discrepancy between the Chinese and English versions, the Chinese version shall prevail)

  • I. The 2019 Annual Shareholders’ Meeting (the Meeting) of Chinese Maritime Transport Ltd. will be held at 9:00 a.m., Tuesday, 18 June, 2019 at Sheraton Grand Taipei Hotel (located at No.12, Zhong Xiao East Road, Sec 1, Taipei, Taiwan, ROC). The agenda for the meeting is as follows:

  • Report Items:

    • (1) To report the business of 2018

    • (2) To report the Supervisors’ Review of the 2018 Financial Statements

    • (3) Summary of endorsement and guarantee

    • (4) Distribution of the 2018 Compensation of Employees, Directors and Supervisors

  • Proposed Resolutions

    • (1) To accept 2018 Business Report and Financial Statements

    • (2) To approve the proposal for distribution of 2018 Profits

  • Discussion and Election

    • (1) To amend the Procedures for Acquisition or Disposal of Assets

    • (2) To amend the Procedures for Lending Funds to Other Parties

    • (3) To amend the Procedures for Endorsement and Guarantee

    • (4) To elect new Directors (including two independent Directors) and Supervisors for the 16[th] Board of Directors.

    • (5) To propose the approval of removing non-competition clauses on the Company’s newly elected Directors and its representative.

  • Extempore Motion(s)

  • II. The proposal for distribution of 2018 profits adopted at the meeting of the Board of Directors is as follows:

Cash dividends to common shareholders: Each common share holder will be entitled to receive a cash dividend of NT$1.6 per share.

  • III. There will be seven Directors (including five directors and two independent directors) and two supervisors elected at the Meeting. Among them, the Independent Directors shall be elected through the candidate nomination system and the candidates of Independent Directors are Donald Kuo-Liang Chao and Shih-Sheng Paul Lai. Education and experience of the candidates: please refer the Market Observation Post System (MOPS) ( http://mops.twse.com.tw )

  • IV. The Discussion of removing non-competition clauses on the Company’s newly elected Directors and its representative is according to Article 209 of the Company Act which stated that “ A director who does anything for himself or on behalf of another person that is within the scope of the company’s business, shall explain to the meeting of shareholders the essential

contents of such an act and secure its approval.” It is proposed that the Meeting will agree to remove non-competition clauses on newly elected Directors and its representative. The contents of the concurrent job conducted by the newly elected director(s) will be supplemented during the discussion process of the Meeting.

  • V. Attend the Annual Shareholders’ Meeting in person, please fill in the Form of Attendance Notice for registration on the day of the meeting. Attend by proxy, please refer to the guidance of Proxy, fill in and return the Form of Proxy Attendance. The Form of Proxy Attendance shall be delivered to the Registrar Department of KGI Securities Co., Ltd. (5/F,No.2, Chung Ching South Road, Section 1, Taipei City) FIVE (5) days prior to the day of Annual Shareholders’ Meeting.

  • VI. According to Article 26-2 of the Securities and Exchange Act: “The notice of the shareholders meeting to be given by an issuer to shareholders who own less than 1,000 shares of nominal stocks may be given in the form of a public announcement thirty days prior to the annual shareholders’ meeting.” The Meeting Notice will not be mailed to a shareholder shall he/she owns less than 1,000 shares accordingly.

  • VII. The E-voting Platform, STOCK VOTE (stock code: 2612), is available for all shareholders. Shareholders may exercise their voting rights through the platform, provided by Taiwan Depository & Clearing Corporation (TDCC). Please refer to the website link as http://www.stockvote.com.tw for more details. The Voting Period: From May 19, 2019 to June 15, 2019.

  • VIII. The institution in charge of statistics and verification of the Proxies for the Meeting is: KGI Securities Co., Ltd.

  • IX. The principle of issuance of the souvenir of the Meeting(NT$50 of 7-Eleven commodity card): no souvenir is to be offered to the shareholders who own less than 1,000 shares, unless the shareholders attend the shareholders’ meeting or exercise their voting rights through the E-voting.
