With reference to the captioned subject, we wish to inform you that the Nomination and Remuneration Committee of the Company on February 28, 2024, has approved the allotment of 5,966,667 equity shares of face value Rs. 10/- each to an eligible employee of the Company as under:

1. CMS CEO Stock Option Plan 2016 - 47,66,667 equity shares

2. CMS Management Stock Option Plan 2016 - 12,00,000 equity shares

The equity shares allotted shall rank pari‐passu in all respects with the existing equity shares of the Company.

Consequent to the above allotment of equity shares, the paid-up equity share capital of the Company shall stand increased from Rs. 1,566,896,240 /- consisting of 156,689,624 equity shares of face value Rs.10/- each to Rs. 1,626,562,910 /- consisting of 162,656,291 equity shares of face value Rs.10/- each.
