Pursuant to Regulation 30 read with Part A of schedule III of SEBI (Listing obligations and Disclosure Requirements) Regulations. 2015, this is to inform you that the Board of Directors of the Company at their meeting held on March 30, 2023 have approved the reappointment of Mr. Rajiv Kaul (DIN: 02581313) as the Executive Vice Chairman, Wholetime Director & CEO of the Company, for a period of 4.4 years w. e. f. April 1, 2023 to July 31, 2027 not liable to retire by rotation, based on the recommendation of Nomination and Remuneration Committee and subject to the approval of the shareholders of the Company.

Brief Profile	:	Mr. Rajiv Kaul is the Executive Vice Chairman,Whole Time Director and CEO of CMS Info SystemsLimited (“CMS”). He has been associated with CMSsince July 1, 2009 and is currently responsible for itsoverall management. He holds a bachelor’s degreein engineering specialising in computer sciencefrom Birla Institute of Technology, Mesra and apost-graduate diploma in business managementspecialising in marketing and finance with a GoldMedal, from XLRI - Xavier School of Management,Jamshedpur.He has over 30 years of experience acrosstechnology, private equity and cash managementindustry. Prior to his association with CMS, he wasassociated with Actis Capital LLP, London as apartner and with Microsoft Corporation (India)Private Limited in the capacity of General Managerand Managing Director, India from where he movedto Redmond, USA as Senior Director of emergingmarkets including BRIC. He was formerly a memberof RBI’s Committee on Currency movement whichwas constituted post demonetisation to reviewmovement of fresh currency. In the past, he hasbeen associated with National Association ofSoftware and Service Companies as an electedmember to the executive council and was also amember of the national council of CII from 2003 to2005. He is also a member of the general council ofBirlaInstitute of Technology,Mesra.
