FURTHER DELAY IN DESPATCH OF CIRCULAR IN RELATION TO A MAJOR ACQUISITION

Reference is made to the announcements of the Company dated 11 May 2011 (the “ Announcement ”), 1 June 2011 (the “ First Delay Announcement ”), 23 June 2011 (the “ Second Delay Announcement ”) , 15 July 2011 (the “ Third Delay Announcement ”) and 5 August 2011 (the “ Fourth Delay Announcement ”) in relation to a major acquisition of the entire issued share capital of Zhongfang Chaozhou Investment Development Company Limited* (中房潮州投資開發有限公司) (the ‘‘ Target Company ’’ ). Terms used herein shall have the same meanings as those defined in the Announcement unless defined otherwise.

As stated in the Third Delay Announcement, a circular (the ‘‘ Circular ’’ ) of the Company containing, among other things, further information of the Acquisition was expected to be despatched to the Shareholders on or before 26 August 2011. As additional time is required for the Company to finalize the contents of the Circular, it is expected that the despatch date of the Circular will be postponed to a date falling on or before 19 September 2011.
