COMPLETION OF DISCLOSEABLE TRANSACTION

Reference is made to the announcement (the “ Announcement ”) of Shenyang Public Utility Holdings Company Limited (the “ Company ”) dated 12 January 2016 in relation to the acquisition of 30% equity interest of Shishi Shen Guo Tou Commercial Property Company Limited* 石獅深國投商用置業有限公司(the “ Target Company ”). Terms defined in the Announcement shall have the same meanings when used herein unless the context requires otherwise.

COMPLETION OF THE ACQUISITION

The Board is pleased to announce that all the conditions to the Acquisition Agreement as set out in the Announcement have been fulfilled and the Acquisition has been completed on 19 May 2016. Upon Completion, the Target Company has become an associate of the Group and it will be accounted for as an associate in the financial statement of the Group.
