DISCLOSEABLE TRANSACTION EXTENSION OF LONG STOP DATE

This announcement is made by Shenyang Public Utility Holdings Company Limited (the “ Company ”) pursuant to Rule 13.09 of the Rules Governing the Listing of Securities (the “ Listing Rules ”) on The Stock Exchange of Hong Kong Limited and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Reference is made to the announcements of the Company dated 27 July 2015, 19 July 2016 and 26 October 2016 in relation to the acquisition of the equity interest of Guangzhou Hai Yue Real Estate Development Company Limited* 廣州海粵房地產發展有限公司 and the amendments of certain terms and conditions under the Acquisition Agreement (the “ Announcements ”) respectively. Terms defined in the Announcements shall have the same meanings when used herein unless the context requires otherwise.

As mentioned in the announcement dated 26 October 2016, the application for the Registration has been submitted to SAICGZ. As at the date of this announcement, the Registration is still in progress. Since additional time is necessary for the completion of the Registration, both parties mutually agreed to further extend the completion date of the Registration to 31 March 2017.

Save as the aforesaid extension of the Long Stop Date, all other terms of the Acquisition shall remain unchanged and continue in full force and effect.
