RESIGNATION OF DEPUTY CHIEF EXECUTIVE OFFICER

The board (the “ Board ”) of directors (the “ Directors ”) of Shenyang Public Utility Holdings Company Limited (the “ Company ”) announces that Ms. Wang Hong Yi (“ Ms. Wang ”) has tendered her resignation from the position of deputy chief executive officer of the Company with effect from 4 February 2016 in order to pursue other career opportunities.

Ms. Wong has confirmed that she has no disagreement with the Board of the Company and that she is not aware of any matters in relation to her resignation that need to be brought to the attention of the shareholders of the Company.

The Board would like to express its gratitude and appreciation to Ms. Wong for her service in the Company during the tenure of her office.
