SUPPLEMENTAL ANNOUNCEMENT – RESIGNATION OF DIRECTORS

Reference is made to the announcement of the Shenyang Public Utility Holdings Company Limited (the “ Company ”) dated 30 March 2015 (the “ Announcement ”) in relation to resignation of directors and nomination of director candidates. Capitalized terms used in this announcement shall have the same meanings as those defined in the Announcement unless otherwise stated.

The Board would like to supplement that the resignation of Mr. Ma Zhong Hong as an executive director of the Company is due to due to his personal commitments on his other business while the resignation of Ms. Zhang Lei Lei as a non-executive director of the Company is due to her personal work arrangement.

Other than disclosed above, each of Mr. Ma and Ms. Zhang has confirmed that there is no matter relating to his/her resignation that needs to be brought to the attention of the shareholders of the Company.
