CHANGE OF COMPANY SECRETARY AND AUTHORIZED REPRESENTATIVE

The board of directors (the “ Board ”) of Shenyang Public Utility Holdings Company Limited (the “ Company ”) hereby announces that Mr. Wang Zai Xing (“ Mr. Wang ”) and Mr. Chow Cheuk Lap (“ Mr. Chow ”) have tendered their resignations as the joint company secretaries of the Company with effect from 27 May 2013. Furthermore, due to the abovementioned resignation, Mr. Chow ceased to be the authorised representative (the “ Authorised Representative ”) of the Company as required under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited. Mr. Wang and Mr. Chow have confirmed that they have no disagreement with the Board and there is no matter in relation to their resignations that need to be brought to the attention of the shareholders of the Company.

The Board further announces that Mr. Wu Tai Cheung (“ Mr. Wu ”) has been appointed as the company secretary and Authorized Representative of the Company with effect from 27 May 2013. Mr. Wu is a member of The Hong Kong Institute of Certified Public Accountants and the Hong Kong Institute of Chartered Secretaries respectively.
