ANNOUNCEMENT

RESIGNATION OF AN NON-EXECUTIVE DIRECTOR

The board of directors (the “ Board ”) of Shenyang Public Utility Holdings Company Limited（the “ Company ”）announces that Mr. Deng Yan Bin (“ Mr. Deng ”) has tendered resignation as non-executive director of the Company on 10[th] May, 2010 in order to devote more time to pursue his other business commitments. The Board and Mr. Deng confirm that there has been no disagreement between Mr. Deng with the Company and there is no any other matter regarding his resignation that needs to be brought to the attention of the shareholders of the Company.

The Board would like to take this opportunity to thank Mr. Deng for his valuable contributions to the Company.
