ANNOUNCEMENT

RESIGNATION OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR

Shenyang Public Utility Holdings Company Limited（the “company”）announces that Mr Lam Tsan Wing Alexander has resigned as an independent non-executive director on 19[th] May，2009 in order to devote more time to pursue his other business commitments. There has been no disagreement between Mr. Lam with the company and there is no matter regarding his resignation that needs to be brought to the attention of the shareholders of the Company.
