RESIGNATION OF A NON-EXECUTIVE DIRECTOR

Shenyang Public Utility Holdings Company Limited (the “Company”) announces that due to personal reasons, Mr. Chan Kam Ling has resigned as a non-executive director of the Company with effect from 27th April, 2005. There has been no disagreement between Mr. Chan with the Company during his appointment and there is no matter regarding his resignation that needs to be brought to the attention of the shareholders of the Company.

The directors of the Company (the “Directors”) would like to take this opportunity to thank Mr. Chan Kam Ling for his valuable contributions to the Company.
