RESIGNATION OF DIRECTOR AND APPOINTMENT OF DIRECTOR

The board of directors (the "Board") of Shenyang Public Utility Holdings Company Limited (the "Company") announces that Mr. Jacques Letondot has tendered his resignation as non-executive director of the Company with effect from 24th August, 2001. The Board would like to extend their appreciation to Mr. Jacques Letondot for his effort and dedication during his term of office with the Company.

The Board has proposed the appointment of Dr. Alain Charles Fabry as the Company's non-executive director subject to the shareholders' approval at the next general meeting.

Dr. Alain Charles Fabry, aged 56, has been the North East Asia President of Suez Group and North East Asia Vice President of Ondeo since July 2001. Dr Alain Charles Fabry was Asia Managing Director of Lyonnaise des Eaux and Asia Pacific President of Suez-Lyonnaise des Eaux. He has been an advisor for French Foreign Trade since 1992. Dr. Alain Charles Fabry graduated from the Institut d'Etudes Politiques with a doctorate degree in law. Dr. Alain Charles Fabry has extensive experience in the infrastructure construction business and legal affairs.
