RESIGNATION OF DIRECTOR

Shenyang Public Utility Holdings Company Limited (the "Company") announces that Mr. Ma Ying has tendered his resignation as the general manager, the vice chairman, and an executive director of the Company with effect from 5th December, 2001. The Company would like to express its sincere appreciation to Mr. Ma Ying for his valuable contribution during his term of office with the Company.

Mr. Zhang Guo Xiang, the chairman of the Company, has assigned Mr. Zhang Ying Jian, the executive deputy general manager of the Company, to be in charge of day-to-day business of the Company temporarily.

The management of the Company will propose to convene the board of directors meeting of the Company in due course to discuss candidate of the general manager of the Company in accordance with articles of association of the Company and the relevant regulations of the PRC and discuss extraordinary general meeting of the Company to be held to elect a new director. Further announcement will be made by the Company in respect of this matter in due course.
