RESIGNATION OF DIRECTORS AND

APPOINTMENT OF DIRECTORS

The board of directors (the "Board") of Shenyang Public Utility Holdings Company Limited (the "Company") announces that Mr. Xin Rui Ting has tendered his resignation as an executive director of the Company with effect from 6th June, 2000 and Mr. Xia Ren Fan has tendered his resignation as an non-executive director of the Company with effect from 6th June, 2000.

The Board would like to express its sincere appreciation to Mr. Xin Rui Ting and Mr. Xia Ren Fan for their valuable contributions during their terms of office with the Company.

The Board also wishes to announce that a supplemental resolution has been proposed by Shenyang Public Utility Group Company Limited, the controlling shareholder of the Company, to appoint Mr. Zhang Guo Xiang and Mr. Liu Ting Yi as an executive director and non-executive director of the Company respectively. Accordingly, the Board would like to propose to consider and approve this supplemental resolution at the forthcoming 1999 Annual General Meeting ("AGM") to be convened at the Conference Room of the Company's premises at Level 9, Shenyang Golden International Tower, 355 Zhong Shan Road, Shenhe District, Shenyang, the People's Republic of China on Monday, 19th June, 2000 at 9:00 a.m.

Mr. Zhang Guo Xiang, aged 43, senior engineer, is the general manager of Shenyang Water General Corporation since October 1999. Mr. Zhang graduated from Northeast University in the PRC with a masters degree in business. He has extensive experience in corporate management and operation management. Prior to joining Shenyang Water General Corporation, Mr. Zhang was the deputy director of Shengyang Municipal Government Office and was the chairman and general manager of 瀋陽市政興集團(Shenyang Zheng Xing Group Company) from January 1999 to October 1999.

Mr. Liu Ting Yi, aged 49, economist, is the general manager of 瀋陽市電力公司 (Shenyang Municipal Power Company) and the deputy general manager of Shenyang Hot Electricity Company Limited. Mr. Liu has 13 years' experience in corporate management in the electricity sector. Mr. Liu was the assistant to general manager of Shenyang Municipal Power Company in 1993 and was later promoted to deputy general manager and chief economist. He has been the general manager of Shenyang Municipal Power Company since 1999.
