CMC MARKETS PLC ("CMC") 

NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")

In accordance with the UK Financial Conduct Authority's Disclosure Rules and Transparency Rules ("DTRs"), CMC announces that as of 11 March 2016, Peter Cruddas, a director of CMC, has the following interest in CMC's ordinary shares of 25 pence each ("Shares"):

Notes: (1) Includes an interest in 14,774,532 in Shares held  by Fiona Cruddas, representing 5.13% of the total issued Shares

On 9 March 2016, 6,797,607 Shares, representing 2.36% of the total issued Shares, were re-delivered to Peter Cruddas under a Stock Lending Agreement with Morgan Stanley & Co. International Plc and Goldman Sachs Strategic Investments (U.K.) Limited in connection with the initial public offering of CMC. Peter Cruddas' total interest in CMC as a result of the transaction has not changed.

This notification is made pursuant to DTR 3.1.4. CMC was notified of the above transaction on 10 March 2016.
