NOTICE UNDER SECTION 708A OF THE CORPORATIONS ACT

Cluey Ltd ACN 644 675 909 (ASX: Cluey) ( Cluey ) hereby advises that a total of 10,434,783 fully paid ordinary Cluey shares (each, a Share ) were issued by Cluey earlier today to a number of sophisticated and professional investors.

The Shares the subject of this cleansing notice (which is being given under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act )) were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

In addition, Cluey states that as at the date of this notice, Cluey:

• a) has complied with the provisions of Chapter 2M of the Corporations Act as they apply to Cluey;

• b)

  • has complied with the provisions of section 674 of the Corporations Act; and

• c) is not aware of any excluded information for the purposes of section 708A(6)(e) of the Corporations Act, being information:

  • i.that has been excluded from a continuous disclosure notice in accordance with the Listing Rules of ASX; and

  • ii.that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

    • A. the assets and liabilities, financial position and performance, profits and losses and prospects of Cluey; or

    • B. the rights and liabilities attaching to the new Shares.
