NOTICE UNDER SECTION 708A OF THE CORPORATIONS ACT

Cluey Ltd ACN 644 675 909 (ASX: Cluey) ( Cluey ) hereby advises that a total of 2,986,612 fully paid ordinary Cluey shares (each, a Share ) were issued by Cluey on 1 October 2021 to the vendors of CodeCamp Holdings Pty Ltd.

The Shares the subject of this cleansing notice (which notice is being given under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act )) were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

In addition, Cluey states that as at the date of this notice, Cluey:

• a) has complied with the provisions of Chapter 2M of the Corporations Act as they apply to Cluey;

• b) has complied with the provisions of section 674 and section 674A of the Corporations Act; and

• c) is not aware of any excluded information for the purposes of section 708A(6)(e) of the Corporations Act, being information:

  • i. that has been excluded from a continuous disclosure notice in accordance with the Listing Rules of ASX; and

  • ii. that investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:

    • A. the assets and liabilities, financial position and performance, profits and losses and prospects of Cluey; or

    • B. the rights and liabilities attaching to the new Shares.
