CLS Holdings plc Long Term Incentive Plan ("LTIP")

CLS Holdings plc announces that Fredrik Widlund, Chief Executive Officer and Director of the Company, and Andrew Kirkman, Chief Financial Officer and Director of the Company, have today been awarded nil cost options over a number of ordinary shares of 2.5 pence each in the Company ("Ordinary Shares") as set out below (the "Awards").

The Awards were made based on the quoted closing price of the Company's Ordinary Share on 12 May 2020. The Awards will vest on the third anniversary of the date of grant, subject to the achievement of performance targets measured over a three-year period as set out in the Company's 2020 Remuneration Policy.  Vested Awards will be subject to an additional two-year holding period.

The Remuneration Committee are aware of the impact of the Coronavirus on the Company and its share price, and the effect it may have on overall Executive remuneration.  Pursuant to the rules of the LTIP, the Committee has full discretion to ensure that the final outcomes reflect the performance of the Company taking into account all relevant factors, and that there have not been any windfall gains.
