The Articles of the Corporation are amended as follows:

The issued and outstanding Subordinate Voting Shares of the Corporation are consolidated on the basis of one post-consolidation Subordinate Voting Share for every twenty (20) pre-consolidation Subordinate Voting Shares.

The issued and outstanding Multiple Voting Shares of the Corporation are consolidated on the basis of one post-consolidation Multiple Voting Share for every twenty (20) pre-consolidation Multiple Voting Shares.

In the event that the consolidation would otherwise result in the issuance of a fractional post-consolidation share, no fractional post-consolidation shares will be issued and the number of post-consolidation shares issuable to such shareholder will be rounded up to the next higher whole number if the fraction is 0.5 or greater, and rounded down to the next lower whole number if the fraction is less than 0.5.
