TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 20 February 2017 it transferred 193 ordinary shares of 25 pence each from treasury to a participant in its employee share plans. The transfer price was 931 pence. Following the transfer of these shares, the Company holds 487,685 of its ordinary shares in treasury and has 150,156,043 ordinary shares in issue (excluding treasury shares).
