TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 31 May 2016 it transferred 516 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 590 pence.  Following the transfer of these shares, the Company holds 695,750 of its ordinary shares in treasury and has 149,947,978 ordinary shares in issue (excluding treasury shares).
