TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 27 January 2015 it transferred 1,787 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was nil pence.  On 28 January 2015 it transferred 4,112 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 547 pence.  Following the transfer of these shares, the Company holds 1,198,723 of its ordinary shares in treasury and has 149,425,570 ordinary shares in issue (excluding treasury shares).
