TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 21 May 2013 it transferred 3,868 ordinary shares of 25 pence each from treasury to participants in its employee share plans.  The transfer price was 654.48 pence. Following the transfer of these shares, the Company holds 2,861,567 of its ordinary shares in treasury and has 147,745,277 ordinary shares in issue (excluding treasury shares).
