Persons Discharging Managerial Responsibilities

in Ordinary shares of the Company of 25p each (Shares)

Close Brothers Group plc (the "Company") notifies that on 9 October 2025, share awards under the Company's Omnibus Share Incentive Plan (the "Plan") were granted to the executive directors and other Persons Discharging Managerial Responsibilities ("PDMRs") noted below under the Long Term Incentive Plan ("LTIP"). A share price of £4.9298 per share has been applied to determine the number of shares awarded under the plans, being the average of the middle market quotations for the five business days from and including the date of the Company's preliminary results announcement on 30 September 2025.

These awards are subject to performance underpins which are measured at the end of the three-year period between 1 August 2025 and 31 July 2028.
